2011 PERRYVILLE VENDOR/EXHIBITOR CONTRACT
This contract made and entered into at Frankfort, Kentucky this ________ of
_________, 2011 by and between the Kentucky Department of Parks hereinafter
referred to as “PARKS” or as the “FIRST PARTY,” and
______________________________________________________________________ (Name of Vendor/Exhibitor)
hereinafter referred to as the “SECOND PARTY.”
WHEREAS, the SECOND PARTY desires to contribute to the reenactment activities at the Perryville Battlefield State Historic Site on October 1-2, 2011.
WHEREAS, PARKS desires that the reenactment activities are run in a safe and professional manner and that the participants and spectators are provided with authentic and quality products.
WITNESSETH The Kentucky Department of PARKS and the SECOND PARTY, In consideration of the mutual promises of the other, hereby agree as follows:
OBLIGATION OF THE DEPARTMENT OF PARKS
PARKS promises to allow the SECOND PARTY to provide quality Civil War Era antiques; Victorian Era antiques, antique books or books pertaining to military as well as military antiques up to and including the Vietnam Era (1975) period and Civil War art participants and spectators at the Perryville Battlefield State Historic Site on October 1 - 2, 2011.
2. PARKS agrees to have law enforcement personnel on site to police the event and provide security.
3. PARKS agrees that all revenue produced by the SECOND PARTY will go to the SECOND PARTY.
OBLIGATIONS OF THE SECOND PARTY
1. The SECOND PARTY agrees to pay the set-up fee based upon spaces requested, makes all arrangements, and promises to be responsible and liable for all setting up and breaking down of its Vendor/Exhibitor area designated by parks.
2. The SECOND PARTY shall be open for business Saturday, October 1st from 9 a.m. until 5 p.m., and Sunday October 2nd from 9 a.m. until 5:00 p.m.
3. The SECOND PARTY hereby promises to indemnify officers, agents and employees of the Kentucky Tourism Cabinet and the Department of Parks and save harmless from any and all liability, loss, or casualty, for any and all liability which may result from the reenactment activities.
IN WITNESS WHEREOF, the parties hereunto have executed this agreement the above day and year first written.
